Please read these terms and conditions carefully before submitting a Referral. This Agreement explains the terms and conditions that govern your participation in the Referral Program. It is your responsibility to read and understand this Agreement. By submitting a referral form, you agree to be bound by this Agreement.
Program Overview
Iterable’s Referral Program is a way for individuals to refer customers to Iterable and, in exchange, earn a Reward for each Successful Referral.
Definitions
“You” means the individual submitting the Referral.
“Referral” means the prospective customer being referred to Iterable.
A “Successful Referral” means a Referral executes a New Customer Order Form and becomes an Iterable customer.
Eligibility and Registration Requirements
To qualify for participation in the Referral Program and receipt of Rewards:
- You must be at least 18 years of age or older;
- You must use the referral form located on the referral program page to submit Referrals;
- You must fully complete the referral form with accurate information;
- You must have a genuine belief that each Referral is interested in receiving Iterable services;
- You should have an existing professional relationship with the Referral and a reasonable basis for believing the Referral is interested in Iterable’s services;
- Referrals must represent net-new business opportunities for Iterable. Companies already engaged in active sales discussions, evaluations, procurement processes, or existing pipeline activity with Iterable are not eligible;
- To be a Successful Referral, Referral:
- Must execute a written Master Services Agreement directly with Iterable within 6 months of the successful submission of the referral form;
- May not be an existing Iterable customer or already have an open opportunity with Iterable about becoming a customer.
Government officials are not eligible for participation in the Referral Program.
Individuals who are employees of the following entities, their affiliated companies or subsidiaries either at the time of submission or at the time of Reward distribution are not eligible for participation in the Referral Program:
- The Referral;
- A consultant or contractor of the Referral (or any subsidiary or affiliate);
- Any company with a referral agreement in place with Iterable
By submitting a Referral you represent and warrant you are eligible for participation in the Referral Program.
Duplicate Referrals
- Referral rewards are limited to one Reward per referred company/account.
- If multiple referrals are submitted for the same company, Iterable will determine the qualifying Referral in its sole discretion.
- Duplicate or overlapping referrals are not eligible for multiple Rewards.
- Iterable may, at its discretion, split a Reward among multiple qualifying participants associated with the same Referral.
Earning Rewards
- After a Referral executes a Master Services Agreement with Iterable, Iterable will contact you via phone or e-mail.
- For each Successful Referral, Iterable will provide you with a $500 one-time Visa gift card.
- The Reward will be distributed to you within 120 days of execution of an agreement with the Successful Referral.
- Referral submissions remain valid for six (6) months from the date of submission unless otherwise determined by Iterable.
- Rewards are non-transferable and may not be exchanged for cash.
- You are responsible for paying all taxes on Rewards and you will, if Iterable requests, provide a signed W9 to Iterable prior to distribution of the Reward.
- You are solely responsible for any federal, state, local, or other taxes associated with receipt of a Reward.
- Iterable may require that you confirm your eligibility for a Reward. You will work with Iterable in good faith in connection with such requests.
- Iterable reserves the right to determine, in its sole discretion, whether a Referral qualifies as a Successful Referral and whether a Reward has been earned.
Guidelines on Endorsements and Testimonials
You are responsible for making truthful and accurate statements about Iterable services.
You must disclose your relationship, if any, with Iterable at the outset of any referral communication. You must disclose the fact that you may receive a Reward for a Successful Referral. Disclosures must be clear and conspicuous.
Collection of Referral Personal Information
By providing the Referral’s personal information, you acknowledge that you have obtained explicit consent from the Referral to provide this information to Iterable. Explicit consent is defined as it is in all applicable data privacy laws and regulations.
Program Integrity
Iterable may withhold, deny, or revoke Rewards in cases of suspected fraud, abuse, spam, misleading activity, attempts to circumvent the intent of the Referral Program, or violations of these Terms and Conditions.
Referral Program participation is intended for direct, personal business referrals only. Referrals may not be promoted through paid advertising, spam, unsolicited outreach, coupon websites, or mass distribution channels.
Compliance with Laws
Participation in the Referral Program must comply with all applicable laws, regulations, employer policies, and contractual obligations. Participants are responsible for ensuring they are permitted to receive Rewards.
No Guarantee of Sales Engagement
Iterable is under no obligation to pursue any Referral or enter into a business relationship with any referred company.
Termination or Changes to the Program
Iterable reserves the right to terminate the Referral Program at any time without notice. Notification of termination may be sent to your e-mail address on the referral form or publicized on the Referral Program website.
Iterable may modify the Rewards available, including the value of the Rewards, at any time without notice. All Rewards are subject to availability. Iterable does not make any representations or warranties about the Rewards, including functionality and Iterable is not responsible for any damage to the Rewards that may be caused by shipping.
Iterable may modify this Agreement from time to time, with or without notice, and your continued participation after such modification shall be deemed your acceptance of the modifications.
Disputes/Errors
All questions or disputes regarding the Referral Program must be submitted to community@iterable.com. Disputes will be resolved by Iterable in its sole discretion. In the event Iterable makes an error, such error will not constitute a breach by Iterable of this Agreement and your sole remedy shall be the value of the Reward.
Terms of Use
The Terms of Service apply to this Agreement, including, without limitation, the limits on liability and choice of law.
Privacy Policy
Iterable may share your Personal Information (as defined in our Privacy Policy with the Referral or with other third parties. Except as otherwise set forth in these terms, Iterable will treat your Personal Information in accordance with our Privacy Policy.
